Affiliate Program Agreement

This Affiliate Program Agreement (“Agreement”) is between Restackd LLC (“Restackd,” “we,” “us,” or “our”) and you (“Affiliate,” “you,” or “your”). By enrolling in the Restackd affiliate program, you agree to be bound by this Agreement, our Terms of Service, and our Acceptable Use Policy. If you do not agree, do not enroll.

1. Eligibility

To enroll, you must:

• Be at least 18 years old
• Have a valid PayPal account in your name for payouts
• Not reside in a country sanctioned by the United States Office of Foreign Assets Control (OFAC), including but not limited to Iran, North Korea, Syria, Cuba, the Crimea, Donetsk, and Luhansk regions
• Not be on any United States government denied-parties or specially-designated-nationals list
• Have a website, social account, mailing list, or other channel through which to promote Restackd ethically

2. Commission Structure

We pay 70 percent recurring commission on every paid Restackd subscription generated through your affiliate link, for as long as the referred customer remains an active paying subscriber. This applies to both plan types:

• Monthly Plan ($97/month): $67.90 per month for the lifetime of the customer’s subscription.
• Annual Plan ($497/year): $347.90 per year for each year the customer renews.

Commissions accrue on collected revenue only. Failed payments, chargebacks, and refunds do not generate commission. See Section 9 for clawbacks.

3. Cookie Window and Attribution

We use a 90-day last-click attribution model. When a prospect clicks your affiliate link, a cookie is placed in their browser. If they sign up within 90 days of the most recent affiliate-link click, you are credited with the sale. If multiple affiliates referred the same prospect within the window, the most recent click wins. Attribution is recorded server-side at checkout and cannot be retroactively modified.

4. Payment Terms

Commissions are paid monthly via FanBasis Payouts on the first business day of each calendar month, covering commissions earned in the previous month and held for at least 30 days from the original sale date (a NET-30 hold to cover refunds and chargebacks). Minimum payout is $50; balances below the minimum roll forward to the next month. Payouts are made in US dollars to the PayPal address on file. Currency conversion or fees imposed by PayPal are your responsibility.

5. Tax Responsibility

You are an independent contractor responsible for all income, self-employment, and other taxes due in your jurisdiction. We do not withhold taxes from your payouts except as required by law.

• US affiliates. If your annual commissions exceed $600, you must submit a completed IRS Form W-9 before further payouts are released. We will issue you a Form 1099-NEC after the close of the calendar year.
• Non-US affiliates. Before your annual commissions exceed $600, you must submit a completed IRS Form W-8BEN (for individuals) or W-8BEN-E (for entities). In the absence of a valid Form W-8, we are required to withhold 30 percent of your gross commissions as US backup withholding. We will issue you a Form 1042-S after the close of the calendar year.

6. OFAC and Trade Compliance

By enrolling, you represent and warrant that you are not located in, under the control of, or a national or resident of any country or region subject to US economic sanctions; that you are not on any restricted-party list; and that you will not promote Restackd in any sanctioned territory. We may suspend or terminate your participation at any time if these representations become inaccurate.

7. FTC and Honest-Marketing Disclosure

United States affiliates must comply with the Federal Trade Commission’s Endorsement Guides. Every public-facing promotion, including social posts, videos, blog content, and email, must contain a clear and conspicuous disclosure that you receive a commission from Restackd for qualifying signups. Acceptable language includes “I earn a commission if you sign up through this link,” “Affiliate link,” or “#ad.” Affiliates outside the United States should comply with equivalent local rules (UK CMA, EU UCPD, Australian Consumer Law, etc.).

8. Prohibited Activities

You may not:

• Self-refer or refer household members. Commissions on these are voided and the underlying subscription may be terminated.
• Run incentivized signup farms, including cashback bribes, fake giveaways, or pay-to-click rebates that produce signups likely to refund within 30 days
• Make false or misleading claims about Restackd’s features, results, pricing, or earnings potential
• Use spam, including unsolicited email, SMS, or social-media DMs that violate CAN-SPAM, TCPA, or platform terms
• Bid on Restackd brand terms in paid search advertising, including “Restackd,” “Restackd.com,” and obvious misspellings
• Buy domains containing “Restackd” or operate sites that imitate Restackd’s brand
• Use cookie-stuffing, iframe attribution hijacking, or other fraud
• Promote on platforms that prohibit affiliate marketing or whose audience guidelines we have asked you not to use

9. Refund Clawback

If a referred customer receives a refund (including the 14-day money-back guarantee) or charges back, the related commission is reversed. Reversals are deducted from your future payouts. If your balance is negative for more than 60 days, we may invoice you for the shortfall.

10. Termination

Either party may terminate this Agreement at any time with or without cause on written notice (email is sufficient). We may immediately suspend or terminate your participation if you violate this Agreement, the Acceptable Use Policy, or applicable law. On termination:

• Your affiliate links stop crediting new sales effective the date of termination.
• Earned but unpaid commissions in good standing are paid at the next scheduled payout (every 2 days), subject to any chargeback clawbacks.
• Commissions earned but unpaid for affiliates terminated for cause (fraud, AUP violation, sanctioned-party listing) are forfeited.

11. Independent Contractor Status

You are an independent contractor. Nothing in this Agreement creates an employer-employee relationship, partnership, joint venture, or agency. You may not represent yourself as an employee, agent, or authorized representative of Restackd, and you may not bind us to any obligation.

12. Confidentiality

You may not disclose non-public commission data, customer lists, or internal program details we share with you, except as required by law. Aggregated results (your own earnings) may be shared at your discretion subject to FTC disclosure requirements.

13. Modifications

We may modify this Agreement, including the commission structure, payout terms, or program rules, on 30 days’ notice for new sales. Existing commissions on already-converted customers are grandfathered under the rate in effect at the time of conversion for as long as that customer remains an active paying subscriber.

14. Limitation of Liability

To the maximum extent permitted by law, our total liability to you in connection with the affiliate program is limited to the commissions earned by you in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

15. Governing Law

This Agreement is governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Disputes are resolved per Section 15 of the Terms of Service (informal resolution first, then binding individual arbitration).
